Convertible loans are a frequently used investment alternative to priced equity rounds, especially in the pre-seed/seed stage but also for bridge financing purposes. It was, therefore, only a matter of time until SECA would step up with a Model Documentation to facilitate and standardize investment terms for convertible loan investments.
The CLA Model Documentation consists of short-form as well as long-form versions of a term sheet as well as a convertible loan agreement, in both cases including annotations that aim at providing further drafting guidance.
At this launch event for the CLA Model Documentation, the members of the standing working group entrusted with the drafting will provide insights into the targeted purpose of the CLA Model Documentation and its presumed "use case" and present the key provisions of the CLA Model Documentation as well as the key considerations applied by the working group in drafting these. The speakers will further present how SECA plans to regularly update the CLA Model Document to account for new market trends as well as learnings from day-to-day practice.
